Terms for suppliers

Version 2026-10-26 · Pilot phase

1. Scope and parties

These terms govern the use of the 5minstore supplier portal by suppliers and manufacturers (“supplier”). The provider is Unicorn Asset Management GmbH, Weidenbornstraße 8a, 65189 Wiesbaden (“5minstore”).

The supplier portal is offered exclusively to businesses (§ 14 BGB) with registered office and warehouse in the European Union. The supplier confirms this on registration.

The supplier's own terms do not apply.

2. Services

5minstore provides a technical platform for suppliers to list products that 5minstore users (“store owners”) can add to their online stores and order from the supplier.

5minstore only connects the parties and transmits orders. It is not a party to purchase contracts between supplier and store owner and does not collect payments for the supplier.

There is no entitlement to activation, a particular placement, reach, orders or revenue.

3. Registration and activation

The supplier provides complete and accurate company details and keeps them up to date.

5minstore reviews the details and decides on activation. Before activation, products can be saved as drafts but do not appear in the catalogue.

4. Product data and mandatory information

The supplier only lists products it may lawfully place on the EU market and has in stock, and states and maintains the net price, minimum order, volume discounts, shipping costs to Germany, delivery time and stock.

For each product, the supplier provides the information required by Regulation (EU) 2023/988 (GPSR): manufacturer name, postal and electronic address, the responsible person in the EU for non-EU manufacturers, a product identifier and warnings and safety information. This information is shown to store owners and included in their product descriptions.

The supplier warrants that it holds the necessary rights to images, texts and trademarks. Images with third-party logos or watermarks are not permitted. The supplier grants 5minstore and store owners a non-exclusive, worldwide right to use this content to present, advertise and sell the products, including after termination for products already added.

The supplier is responsible for all product and distribution obligations, in particular labelling, packaging law (LUCID), WEEE, battery law, food and cosmetics law and third-party trademarks.

5. Orders, shipping and returns

5minstore transmits orders by email and in the supplier portal. A purchase contract is concluded only when the supplier accepts or fulfils the order.

The supplier ships neutrally within the stated handling time, without its own advertising, to the delivery address and enters the tracking number. If it cannot deliver, it cancels the order without delay, stating the reason.

The supplier invoices the store owner directly. Returns are accepted at the stated return address; warranty claims of the store owner are directed against the supplier.

The supplier uses end-customer addresses solely to fulfil the order and deletes them when no longer needed. 5minstore deletes delivery addresses 60 days after shipping or cancellation.

6. Fees

During the pilot phase, the supplier portal is free of charge; no commission applies.

5minstore may introduce a commission or fee. Changes to these terms are notified in text form at least 15 days before they take effect (Art. 3(2) Regulation (EU) 2019/1150). The supplier may terminate before they take effect.

7. Ranking and presentation

Supplier products appear in the 5minstore catalogue labelled “Direct from supplier” and can be filtered. The order follows the sorting chosen by the user (trend, margin, profit, price, newness) and the search term. Nobody pays for better placement of supplier products.

8. Review, suspension, complaints

5minstore may review products and accounts and block products or pause or block accounts if information is missing or wrong, rights or laws are infringed, orders are repeatedly not fulfilled or there are indications of illegal content. Reasons are given in text form (Art. 4 Regulation (EU) 2019/1150).

Complaints about decisions of 5minstore can be sent to info@unicorn.management.

Anyone may report illegal content to the same address (notice and action under Art. 16 Regulation (EU) 2022/2065).

9. Liability and indemnity

The supplier indemnifies 5minstore against all third-party claims, including by authorities, arising from its content, products or breach of its obligations, including reasonable legal costs.

5minstore is liable without limitation for intent and gross negligence, injury to life, body or health and under the Product Liability Act. For slightly negligent breach of essential obligations, liability is limited to typical, foreseeable damage. Otherwise liability is excluded.

5minstore does not guarantee constant availability of the portal.

10. Term and termination

The contract runs for an indefinite period. Either party may terminate with 30 days' notice in text form; termination for good cause remains unaffected. Orders already transmitted are fulfilled under these terms.

11. Data protection

Both parties process personal data in accordance with the GDPR. Details of processing by 5minstore are in the privacy policy.

12. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Wiesbaden where the supplier is a merchant or legal entity under public law.

Should any provision be invalid, the remainder of the contract remains valid. The German version prevails.
